1. Definitions
"UX Genius" refers to UX Genius, a Managed IT service provider.
"Client" refers to the individual or entity engaging UX Genius for Managed IT services.
"Services" refers to the Managed IT services provided by UX Genius, including but not limited to remote monitoring, cybersecurity, anti-virus, endpoint detection and response, ransomware protection, web design & hosting, and digital marketing.
"Agreement" refers to these Terms & Conditions, along with any additional documents or agreements specifically referenced herein.
2. Scope of Services
UX Genius will provide the Services as outlined in the Service Level Agreement (SLA) or any other mutually agreed-upon document.
The Client acknowledges that the specific scope and details of the Services may vary based on their individual needs and requirements.
UX Genius reserves the right to modify or update the Services as necessary to ensure optimal performance and security.
3. Client Responsibilities
The Client will provide UX Genius with all necessary access and information required to deliver the Services effectively.
The Client will ensure that their systems and networks are compatible with the requirements of the Services.
The Client will cooperate with UX Genius in resolving any technical issues or incidents that may arise.
The Client will be responsible for maintaining adequate backups of their data and systems.
4. Payment Terms
The Client will pay UX Genius the fees as outlined in the SLA or any other mutually agreed-upon document.
Payment will be made in accordance with the agreed-upon billing cycle.
Late payments may be subject to interest charges or suspension of Services.
5. Intellectual Property
UX Genius retains all intellectual property rights to any tools, software, or methodologies developed or used in the provision of the Services.
The Client retains all intellectual property rights to their own data and content.
6. Confidentiality
Both parties agree to maintain the confidentiality of any sensitive or proprietary information shared in the course of the Services.
7. Limitation of Liability
UX Genius will not be liable for any indirect, incidental, or consequential damages arising from the provision of the Services.
UX Genius's total liability will not exceed the fees paid by the Client for the Services in the 12 months preceding the incident.
8. Termination
Either party may terminate the Agreement with written notice as specified in the SLA or any other mutually agreed-upon document.
Upon termination, the Client will be responsible for any outstanding fees.
9. Governing Law
This Agreement will be governed by the laws of the jurisdiction where UX Genius is located.
10. Entire Agreement
This Agreement constitutes the entire understanding between the parties and supersedes any prior agreements or understandings.
By engaging UX Genius for Managed IT services, the Client acknowledges that they have read, understood, and agreed to these Terms & Conditions.
